Terms of Service

1. Acceptance of Terms

By accessing and using Forti365 services, scheduling consultations, or entering into service agreements with us, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

2. Services Description

Forti365 provides specialized AI and security consulting services including:

• AI Chatbot Development: Custom chatbot solutions for business automation and customer service
• Cybersecurity Assessments: Comprehensive security evaluations and vulnerability assessments
• Cloud Architecture: AWS cloud infrastructure design, implementation, and optimization
• Compliance Consulting: GDPR, HIPAA, and other regulatory compliance guidance
• Security Monitoring: 24/7/365 threat detection and response services

3. Service Agreements and Scope

All services are provided under separate service agreements that define specific deliverables, timelines, and pricing. These Terms of Service govern the general relationship between Forti365 and clients, while individual service agreements detail project-specific terms.

4. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Grant appropriate access to systems and data as required for services
• Respond promptly to requests for information or approvals
• Maintain confidentiality of any proprietary methodologies or tools shared by Forti365
• Comply with all applicable laws and regulations in their use of our services

5. Payment Terms

Payment terms are specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur interest charges as permitted by law
• Services may be suspended for accounts with overdue balances
• All fees are non-refundable unless explicitly stated in the service agreement

6. Intellectual Property

6.1 Forti365 IP

All proprietary methodologies, frameworks, tools, and pre-existing intellectual property of Forti365 remain our exclusive property. Clients receive a limited license to use deliverables for their intended business purposes.

6.2 Client IP

Clients retain ownership of their pre-existing intellectual property and data. Any custom developments created specifically for the client become the client's property upon full payment, unless otherwise specified.

6.3 Shared IP

Improvements to Forti365's general methodologies or tools developed during client engagements may be retained by Forti365 for use with other clients, provided no client-specific confidential information is disclosed.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• All non-public information shared during the engagement
• Technical specifications, business processes, and strategic information
• Security vulnerabilities and assessment results
• Any proprietary methodologies or tools

Confidentiality obligations survive termination of the service relationship.

8. Data Protection and Security

Forti365 implements industry-standard security measures to protect client data:

• Encryption of data in transit and at rest
• Access controls and authentication procedures
• Regular security assessments and updates
• Compliance with applicable data protection regulations

Clients are responsible for ensuring they have appropriate rights to share data with Forti365 for service delivery.

9. Limitation of Liability

To the maximum extent permitted by law:

• Forti365's total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim
• We shall not be liable for indirect, incidental, special, or consequential damages
• We do not guarantee that our services will prevent all security incidents or vulnerabilities
• Clients acknowledge that cybersecurity involves ongoing risks that cannot be completely eliminated

10. Warranties and Disclaimers

Forti365 warrants that services will be performed with professional skill and care. However:

• We make no warranties regarding specific outcomes or results
• All services are provided "as is" without additional warranties
• We disclaim all implied warranties to the extent permitted by law
• Cybersecurity and AI technologies evolve rapidly, and past performance does not guarantee future results

11. Indemnification

Clients agree to indemnify and hold Forti365 harmless from claims arising from:

• Client's use of our services in violation of these terms
• Client's violation of applicable laws or regulations
• Unauthorized modifications to deliverables or recommendations
• Client's failure to implement recommended security measures

12. Termination

Either party may terminate services:

• For convenience with 30 days written notice
• Immediately for material breach that remains uncured after 15 days notice
• Immediately for insolvency, bankruptcy, or assignment for creditors

Upon termination, clients remain responsible for payment of services rendered, and confidentiality obligations continue.

13. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, cyber attacks, or other force majeure events.

14. Governing Law and Disputes

These terms are governed by the laws of [Your State/Country]. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for breaches of confidentiality or intellectual property rights.

15. Modifications

Forti365 may update these Terms of Service from time to time. Material changes will be communicated to active clients with 30 days notice. Continued use of services after changes take effect constitutes acceptance of the updated terms.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms of Service, together with individual service agreements and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein.
